1. Acceptance of Terms

By accessing and using Digma (“the Service”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service (“Terms”) govern your access to and use of our website, services, and applications (collectively, the “Service”) provided by Digma (“we,” “us,” or “our”).

2. Description of Service

Digma is a Software as a Service (SaaS) platform that enables users to:

• Create and manage QR codes
• Host and manage video content
• Build and customize video channels
• Create and manage popup campaigns
• Access analytics and insights for digital content

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Subscription and Billing

4.1 Subscription Plans

We offer various subscription plans with different features and limitations. You may upgrade, downgrade, or cancel your subscription at any time through your account settings.

4.2 Free Trial

We may offer a free trial period for new users. If you cancel during the trial period, you will not be charged. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.

4.3 Billing

Subscription fees are billed in advance on a monthly or annual basis, as selected. All fees are non-refundable except as required by law or as otherwise stated in these Terms.

4.4 Price Changes

We reserve the right to modify our pricing at any time. We will provide you with at least 30 days’ notice of any price changes. If you do not agree to the new pricing, you may cancel your subscription before the changes take effect.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Upload, post, or transmit any content that contains viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service for any commercial purpose not authorized by us
• Scrape, crawl, or use automated means to access the Service
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity

6. User Content

6.1 Ownership

You retain all ownership rights to the content you upload, create, or submit through the Service (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute your User Content solely for the purpose of providing and improving the Service.

6.2 Content Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. We do not endorse any User Content and expressly disclaim any liability related to User Content.

6.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or inappropriate.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Digma and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Termination

8.1 Termination by You

You may cancel your account at any time through your account settings or by contacting us. Upon cancellation, your account will be terminated at the end of your current billing period.

8.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in any conduct that we determine, in our sole discretion, is harmful to the Service or other users.

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and all User Content associated with it. We are not liable for any loss or damage resulting from termination.

9. Disclaimers and Limitation of Liability

9.1 Service Availability

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

9.2 Limitation of Liability

To the maximum extent permitted by law, Digma shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

10. Indemnification

You agree to defend, indemnify, and hold harmless Digma and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Service, your User Content, or your violation of these Terms.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the “Last updated” date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Digma operates, without regard to its conflict of law provisions.
